1. Parties Involved :

This agreement is between Business Bench, hereinafter referred to as the "Supplier" and [Dealer/Distributor Name], hereinafter referred to as the "Dealer/Distributor." Both parties agree to abide by the terms and conditions set forth herein.

2. Scope of Agreement :

The Dealer/Distributor agrees to purchase Business Bench products for resale to customers within the agreed territory. Business Bench grants the Dealer/Distributor the non-exclusive right to market, distribute, and sell the products listed in the attached product list.

3. Territory :

The territory covered by this agreement is specified as [Territory]. The Dealer/Distributor agrees not to sell or distribute Business Bench products outside of this territory without prior written consent from Business Bench.

4. Orders and Deliveries :

The Dealer/Distributor shall submit orders to Business Bench in writing. Business Bench will make reasonable efforts to fulfill orders promptly. Delivery terms and shipping costs will be outlined in the attached schedule.

5. Pricing and Payment :

6. Marketing and Promotion :

Business Bench will provide warranty support for its products in accordance with the terms outlined in the warranty policy provided. The Dealer/Distributor agrees to provide support to customers within their territory and to refer any warranty claims or technical issues to the Business Bench.

9. Term and Termination :
